occasio

(oh-KAH-see-oh )

means “Opportunity” or “the right moment.”

In Roman thought, occasio represented the fleeting but decisive chance to act with purpose.

our name matters to us because it reflects our philosophy — recognizing opportunities others overlook, acting with intention, and building for the long term

our mission

Most private equity firms operate with a built-in deadline: buy, leverage, exit. That cycle creates pressure to grow at any cost, often at the expense of culture and long-term value.

Occasio is different. We’re an independent investment company with no exit horizon. We acquire businesses to build and hold for the long haul, creating steady cash flow and durable value that compounds over time.

For investors, that means access to the returns of private business ownership — without the churn of short-term funds.

our approach

Our model is simple, deliberate, and built for permanence.

  • Search for Owner-led businesses in the emerging lower middle market with strong fundamentals and untapped potential.

  • Acquire utilizing flexible capital and equity structures designed for long-term alignment.  We do not rely on leverage or other "creative financing" strategies.

  • Grow by providing operational support, resources, and strategy while preserving each company’s autonomy and culture.

  • Continued participation from occasio investors who share expertise and expanded networks and in return, enjoy sustainable cash flow and long-term value creation.

our criteria

We are always seeking to grow relationships with owner-led businesses that:

  • Are generally focused in niche manufacturing or B2B services and are durable, scalable, operationally solid companies.

  • Have solid fundamentals and in the emerging lower-middle market, generally with revenue of $2M–$10M and EBITDA of $300k–$2M

  • Are located in strong secondary markets in the Mountain West and Pacific Northwest states and similar markets

  • Led by stewardship-minded owners who value legacy and culture.

  •  We generally exclude businesses in food service, home services, construction trades, retail, and other high-churn, low-margin, labor-heavy industries that depend on commoditized labor, rapid consumer trends, or single licensed professionals.
